Terms of Service

1. Acceptance

By creating an account or using Otterdeck, you agree to these Terms of Service. If you do not agree, do not use the service.

2. The service

Otterdeck is a software-as-a-service platform that uses AI to help generate, send, and track client proposals. We provide the platform "as is" and reserve the right to modify or discontinue features with reasonable notice.

3. Your account

  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use Otterdeck.
  • One account per person. You may not share accounts.
  • You are responsible for all activity that occurs under your account.

4. Acceptable use

You may not use Otterdeck to:

  • Send spam, unsolicited messages, or fraudulent proposals.
  • Impersonate another person or business.
  • Violate any applicable law or regulation.
  • Reverse engineer, scrape, or abuse the service or API.
  • Generate proposals for illegal goods or services.

5. Billing and payments

  • Paid plans are billed monthly or annually via Stripe.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • Cancellations take effect at the end of the current billing period — no partial-month refunds.
  • We reserve the right to change pricing with 30 days' notice.

6. Refund policy

We offer refunds within 7 days of initial payment for annual plans. Monthly subscriptions are non-refundable after charges are processed. Contact support@otterdeck.io to request a refund.

7. Beta programme

  • During our beta period, Pro-tier features are provided free of charge. No payment is required and no credit card is collected.
  • Beta access is provided "as is" without any uptime or feature-completeness guarantee. Features may change or be removed without notice.
  • When the beta period ends and paid tiers are introduced, we will give at least 14 days' notice before any charges are applied. You will be required to actively opt in before being billed.
  • We reserve the right to end the beta programme or modify beta entitlements at any time with reasonable notice.

8. Invoicing

  • The invoicing feature allows you to create and send invoices to clients directly from accepted proposals.
  • Otterdeck generates invoice documents and sends notification emails on your behalf. Otterdeck is not a party to any financial transaction between you and your client.
  • You are solely responsible for the accuracy of invoice amounts, tax treatment, and compliance with applicable invoicing laws in your jurisdiction.
  • Otterdeck does not collect payments on your behalf. Payment collection is your responsibility via your chosen payment method.
  • Invoice PDFs are accessible via a unique shareable link. You are responsible for sending links only to intended recipients.

9. AI-generated content and contract analysis

Proposals generated by Otterdeck use Anthropic's Claude AI. You are responsible for reviewing AI output before sending it to clients. Otterdeck makes no warranty that AI-generated proposals are accurate, complete, or suitable for any particular purpose. Your project description and relevant context are transmitted to Anthropic for processing — see Anthropic's Privacy Policy for details on how they handle this data.

Contract Review is not legal advice. Otterdeck's contract analysis and the free Contract Checker are AI-generated risk highlighters provided for informational purposes only. They do not constitute legal advice, and Otterdeck is not a law firm. You should consult a qualified attorney before making any legal decision or signing any contract. Otterdeck makes no warranty that the analysis is accurate, complete, or identifies every risk in a document.

9a. Electronic signatures

E-Signature is provided through our processor, DocuSeal, and is designed to comply with applicable electronic-signature laws (including the ESIGN Act, UETA, and eIDAS). You are responsible for ensuring that electronic signature is appropriate and legally valid for your particular document and jurisdiction, and for the accuracy of the signer details you provide. Signed documents and their audit trails are retained so you have a durable record.

10. Intellectual property

You own all proposal and invoice content you create. By using Otterdeck, you grant us a limited licence to store and display your content to deliver the service. We do not use your proposal content to train AI models.

11. Limitation of liability

Otterdeck is not liable for any indirect, incidental, special, or consequential damages. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time via Settings. Upon termination, your data is removed within 30 days.

13. Governing law

These Terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of England and Wales.
